Terms of Use

1. Who we are and what these terms cover

The site is operated by Nimbus Analytica Inc., an Ontario, Canada company ("Nimbus Analytica", "we", "us"). Contact details are in the Contact section below.

These terms cover your use of the website and its content. They do not cover paid work. If you hire us for Groundwork, a build or a care plan, that work is governed by a separate written agreement (see section 5).

You must be at least 18, or the age of majority where you live, and be using the site for business purposes. The site is not intended for consumers.

2. Using the site

You may use the site to learn about our services, read our content and contact us. You agree not to:

• use the site unlawfully or to infringe anyone's rights
• submit false, misleading or malicious information through our forms, or submit someone else's information without their permission
• try to break, overload, probe or gain unauthorised access to the site or our systems, or use automated tools to submit forms or scrape content in bulk
• impersonate any person or organisation, or misrepresent your affiliation with us

We may block access or remove submissions if we reasonably believe these rules are being broken.

3. Information, not advice

The site, our articles, The Inference newsletter, and our data products share general information about software, AI and technology projects. They are not legal, financial, tax, security, compliance or other professional advice, and they do not create a client relationship with us. Please get advice that fits your situation before you act on anything you read here. The privacy and compliance notes in our materials (for example, references to PIPEDA or CASL) are general and are not a legal opinion.

4. Estimates are ranges

Prices, cost ranges, timelines and example budgets on the site are estimates to help you plan. They are not quotes, offers or promises. We only commit to a price, scope or schedule in a written quote or agreement that we have both accepted. Prices on the site, including any launch pricing for Groundwork, may change at any time. A change does not affect an agreement already signed.

5. Groundwork, builds and care plans

Groundwork, fixed-price builds and care plans are professional services that we deliver under a separate written agreement (the "Services Agreement"). That agreement sets out the scope, fees, deliverables, timeline, confidentiality, ownership and liability for the work.

• Nothing on the site is an offer that you can accept by clicking, submitting a form or booking a call. A fit call or an enquiry does not create a contract.
• We start work only after the Services Agreement is signed and any agreed fee is paid or invoiced as the agreement says.
• If the Services Agreement conflicts with these terms, the Services Agreement controls for that work.
• Applicable taxes, including HST, are added where required.

6. Our tools and data products

TokenWatch, VoxRank and MarketSignals are separate offerings. When any of them is made available to you, it will come with its own terms, which you must accept to use it. Until then, joining a waitlist, requesting a demo or asking about a dataset does not give you a licence to use the product, and we may change, delay or discontinue any of them without notice.

7. Newsletter

If you opt in, we will send you The Inference newsletter and related emails. You can unsubscribe at any time using the link in every email or by writing to privacy@nimbusanalytica.com. How we handle your email address and other data is described in our Privacy Policy.

8. Content and ownership

Our content. The site's text, design, graphics, logos, articles, datasets and code are owned by Nimbus Analytica or its licensors and are protected by copyright and other laws. You may read, share a link to, and quote short excerpts of our public articles with credit and a link back. You may not copy, republish, sell, scrape or build products from our content, or from MarketSignals data, without our written permission.

Our name and marks. Nimbus Analytica, Groundwork, TokenWatch, VoxRank, MarketSignals and The Inference are our names, and you may not use them in a way that suggests we endorse you.

What you send us. When you submit a form or email us, you give us permission to use what you send to respond to you and to provide what you asked for, as described in the Privacy Policy. You keep ownership of your information.

Client deliverables. Ownership of the work product from a paid engagement is set out in the Services Agreement. Our standard position is that the client owns the deliverables once they have paid in full, and we keep ownership of our pre-existing tools, templates, methods and know-how, with a licence for the client to use any of those that are built into the deliverables.

9. Third-party links

The site may link to websites and services run by others. We do not control them and are not responsible for their content, privacy practices or availability. A link is not an endorsement. Please read their terms and privacy policies.

10. Disclaimers and limits on liability

As-is. The site and its free content are provided "as is" and "as available". To the fullest extent permitted by law, we make no warranties of any kind, express or implied, including about accuracy, completeness, fitness for a particular purpose or uninterrupted availability. We may change, suspend or remove any part of the site at any time.

Limit of liability. To the fullest extent permitted by law, Nimbus Analytica and its owner, directors and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from your use of the site or reliance on its content, even if we were told they were possible. Our total liability to you for all claims relating to the site and its free content is limited to CAD $100.

What this does not limit. Nothing in these terms excludes or limits liability that cannot be excluded or limited by law. Liability for paid services is governed by the Services Agreement, not by this section.

11. Changes to the site and these terms

We may update these terms from time to time. The new version will be posted here with a new "last updated" date and applies from then. If you keep using the site after a change, you accept the updated terms. If a change is material, we will give subscribers notice by email.

12. Ending your access

You can stop using the site at any time. We can suspend or end your access to the site if you break these terms or if we reasonably need to protect the site or others. Sections 3, 8, 10 and 13 continue to apply afterwards.

13. Governing law and disputes

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute about the site or these terms will be brought in the courts of Ontario, and you and we agree to their jurisdiction. Disputes about paid services follow the dispute process in the Services Agreement.
